Terms & Conditions

1. Definitions

• Site - www.genecy.com and related subdomains.
• Products / Templates - downloadable creative templates, code, assets, and documentation made available on the Site or via delivery links.
• Services - (a) Google Ad Manager Setup & Integration; and (b) Custom Creative Templates for GAM.
• Free Tools - utilities such as the YouTube Video Banner Generator and the Video Banner Generator.
• Customer / You / Licensee - the person or entity who purchases or uses Products, Services, or Free Tools.
• GAM - Google Ad Manager.
• Supported GAM accounts - GAM network accounts for which Genecy provides included support (see the pricing page and your purchase confirmation).
• Legacy Delivery Link - a unique URL issued to customers under prior pricing models that provides access to downloads without authentication.

2. Acceptance & Changes

By using the Site or purchasing Products or Services you accept these Terms and any policies referenced herein. We may update these Terms from time to time; updates take effect on the posted Effective date. Continued use after updates constitutes acceptance.

3. Pricing, Currency & Regional Display

• Prices may vary. Current prices, discounts, promotions, and plan details are shown on the Site and at checkout and may change without notice. The final price is the price confirmed at checkout.
• Regional currency display. Prices may be shown in different currencies based on location. Customers outside the European Union may see USD; EU customers will see the currency shown on EU pages. The charged currency and amount will be confirmed at checkout.
• Taxes & fees. Applicable taxes, duties, or fees may be added at checkout based on your billing address and local law.

4. License & Permitted Use (Templates)

4.1 License Grant. Subject to payment of applicable fees and compliance with these Terms, Genecy grants you a limited, non-exclusive, non-transferable, non-sublicensable license to use the downloaded Templates as described in your order.

4.2 Unlimited deployment. Unless otherwise stated in your plan or purchase confirmation, licenses permit unlimited deployment of Templates across any number of GAM network accounts and websites owned or operated by you or your clients.

4.3 Support coverage vs. usage. Support coverage (the number of GAM networks and websites for which Genecy provides included support) depends on your plan and is listed on the pricing page and in your purchase confirmation. Support coverage limits assistance scope only and does not restrict deployment.

4.4 Ownership. Templates and all intellectual property rights remain with Genecy. No title or ownership is transferred to you.

4.5 Restrictions. You may not resell, redistribute, or publicly post Template source packages, delivery links, or license keys; remove proprietary notices; or use Templates in violation of applicable law or third‑party policies.

5. Services

5.1 Google Ad Manager Setup & Integration

Service scope may include ad unit creation, tag integration, delivery testing, and related advisory to enable campaign launch. Specific deliverables, timelines, and access requirements (e.g., GAM network ID, test pages) are confirmed in writing (order form, email, invoice, or statement of work). Unless otherwise agreed, Services are billed as shown at checkout or in the invoice.

5.2 Custom Creative Templates for GAM

Custom templates are built to your specifications (design, interactions, tracking, integrations). The scope, milestones, and acceptance criteria are defined in writing before work begins. Unless stated otherwise, custom work is delivered under the same license as standard Templates. Source‑code handoff, exclusivity, and extended rights, if any, must be expressly agreed in writing.

Services dependencies. You are responsible for providing timely information, assets, and reasonable access needed for delivery. Delays in access or approvals may extend timelines.

6. Free Tools

• YouTube Video Banner Generator. Converts YouTube videos into interactive HTML banners. You are solely responsible for ensuring you have the rights to use any content and for compliance with YouTube terms, copyright law, and applicable advertising policies.
• Video Banner Generator. Converts MP4, WebM, or Ogg files into trackable HTML banners. You are responsible for obtaining all necessary rights and for ad‑tech policy compliance.

Free Tools are provided “AS IS”, may be rate‑limited, modified, or discontinued at any time, and are subject to these Terms. Output generated with Free Tools is your responsibility, including file size, autoplay behavior, audio policies, and browser support.

7. Legacy Customers & Delivery Links

Some legacy customers received Templates via a Legacy Delivery Link (no authentication). These links are for your internal use only. Do not share publicly. We may revoke, rotate, or migrate Legacy Delivery Links to authenticated delivery with reasonable notice, for example to address security, licensing, or platform changes. Where feasible, we will provide replacement access via the Genecy App or updated links. Access to updates and support remains governed by your original purchase terms unless superseded by a later agreement.

8. Updates, Support & Access

• Perpetual license. You may continue using purchased Templates indefinitely in accordance with these Terms.
• Downloads & updates. Access to downloads and updates is provided for the period stated at purchase or while an active subscription is maintained.
• Support scope & SLA. Included email support and response targets (SLA) are described on the pricing page and in your purchase confirmation. Support covers installation and usage issues within your plan’s support coverage; it excludes general GAM administration, third‑party policy compliance, and custom development unless agreed.
• Customization request form. If provided, the customization form enables scoped change requests. Acceptance, timelines, and any additional fees will be confirmed before work begins.

9. Billing, Subscriptions & Plan Changes

Subscription terms, billing frequency, auto‑renewal, upgrade/downgrade rules, and any promotional credits are displayed at checkout and on the pricing page and apply when you subscribe. You may cancel auto‑renewal at any time; access continues until the end of the current paid period. Upgrades generally take effect immediately and may be prorated as shown during checkout.

10. Payments, Refunds & Chargebacks

• Processing. Payments are processed by the provider shown at checkout. We do not store card numbers.
• Refunds. Templates are digital goods. Refunds are available only if, after reasonable cooperation with Genecy support, a Template cannot be made to function on your GAM account due to a Template defect. Any applicable refund window and process are shown on the pricing page or at checkout. Subscriptions are generally non‑prorated unless expressly stated.
• Your obligations. To troubleshoot, you may be asked to provide a preview URL, test page, console/network diagnostics, or temporary access. Failure to provide reasonable information may limit our ability to assist.
• Chargebacks. Before initiating a chargeback, please contact [email protected] so we can help resolve the issue quickly.

11. Third‑Party Services & Policies

Your use of Templates and Free Tools may be subject to third‑party terms (e.g., Google Ad Manager, YouTube). You are responsible for complying with applicable platform policies, ad network rules, autoplay and audio restrictions, privacy/consent requirements, and laws regarding tracking and data collection.

12. Site Content, Preview Pages & Demo Images

12.1 Site & Preview/Showcase Content

All content published on the Genecy domain(s)-including text, code samples, designs, screenshots, animations, interactive previews, and pages in the demo or showcase areas-is the property of Genecy or its licensors and protected by copyright and other laws. You may link to public preview pages, but you may not copy, scrape, frame, mirror, or reuse assets from those pages for commercial purposes without prior written consent. Any permitted reference must clearly attribute Genecy and include a link to the source page.

12.2 Demo Images & Media

Stock images, videos, and other media used on demo or showcase pages are for demonstration only and are not included in Template packages unless explicitly indicated. All such media remains the property of its respective owners and may be subject to additional license terms.

13. Confidentiality

Information you provide to enable Services (such as unreleased designs or business data) will be used solely to perform the Services and will be kept confidential, except where disclosure is required by law or necessary to protect rights or safety.

14. Warranty Disclaimer

Products, Free Tools, and Services are provided "AS IS" and "AS AVAILABLE" without warranties of any kind, whether express or implied, including merchantability, fitness for a particular purpose, and non‑infringement. We do not warrant compatibility with all third‑party components, plugins, ad tech stacks, or browsers.

15. Limitation of Liability

To the maximum extent permitted by law, Genecy’s total liability for any claim arising out of or relating to these Terms shall not exceed the fees paid by you to Genecy in the 12 months preceding the event giving rise to the claim. In no event shall Genecy be liable for any indirect, incidental, special, punitive, or consequential damages, or for loss of profits, data, goodwill, or business interruption.

16. Indemnification

You agree to defend, indemnify, and hold Genecy harmless from claims, damages, liabilities, costs, and expenses arising from (a) your breach of these Terms; (b) your content or assets; or (c) your violation of law or third‑party rights.

17. Privacy, Cookies & Data

Purchasing implies consent to receive transactional emails (order confirmations, updates, security notices). Marketing emails require opt‑in and can be unsubscribed at any time. We process personal data in accordance with our Privacy Policy. We also use cookies and similar technologies; details are described in our Cookie Policy and consent banner.

18. Governing Law & Disputes

These Terms are governed by the laws of Latvia, and disputes shall be brought in the courts of Riga, except where mandatory consumer law provides otherwise.

19. Termination

We may suspend or terminate access for breach or non‑payment. Upon termination, licenses end where required by these Terms; perpetual licenses remain valid for permitted usage but access to downloads/updates/support ceases unless renewed or subscribed.

21. Miscellaneous

If any provision is found unenforceable, the remainder remain in effect. These Terms, together with your order confirmation and referenced policies, are the entire agreement between you and Genecy regarding the Products and Services.
